These Terms of Service (“Terms”) govern the use of the Ecco AI Phone Receptionist (“Service”) provided by Ecco Italy Srl (“Ecco”, “we”, “us”).
By signing an Order Form or using the Service, the customer (“Customer”, “you”) agrees to these Terms.
1. Service Overview
Ecco provides an AI-powered phone receptionist that can answer calls, interact with guests, send booking links, and route or escalate calls.
The Service depends on the configuration defined in the applicable Order Form and on integrations with third-party systems, such as telecom providers and PMS platforms.
2. Service Activation
The Service becomes active once the Customer completes the required setup actions, including call forwarding where applicable.
Ecco is not responsible for delays caused by missing setup, third-party systems, or lack of Customer cooperation.
3. Use of the Service
You agree to:
use the Service only for lawful business purposes
provide accurate and up-to-date information
ensure your systems, including telecom and PMS systems, are properly configured
You may not:
use the Service for illegal, fraudulent, or misleading activities
attempt to reverse engineer, copy, or extract the platform
resell or sublicense the Service without prior written approval from Ecco
4. AI Limitations
The Service uses automated AI systems and may not always respond correctly or interpret requests accurately.
The Service does not replace human supervision in all cases. The Customer remains responsible for business operations and communications with guests.
5. Third-Party Systems
The Service relies on third-party providers and systems, including telecom operators, PMS platforms, hosting providers, and network infrastructure.
Ecco is not responsible for downtime, errors, delays, or limitations caused by third-party systems.
6. Pricing and Payment
Pricing, billing frequency, usage limits, and any overage fees are defined in the applicable Order Form.
Payments are due according to the payment terms stated in the Order Form.
Usage exceeding the included limits may be billed separately.
Ecco may suspend the Service in case of non-payment after prior notice.
7. Subscription and Cancellation
Monthly plans may be cancelled at any time, effective at the end of the current billing period.
Fixed-term plans are non-cancellable during the commitment period.
Unless otherwise stated in the Order Form, subscriptions renew automatically unless cancelled in advance.
8. Data and Privacy
Customer data remains the property of the Customer.
Ecco processes data only as necessary to provide the Service and applies reasonable technical and organizational security measures.
The Customer is responsible for:
informing callers about call handling or recording where required
complying with applicable privacy and data protection laws, including GDPR where applicable
9. Availability
The Service is provided on a best-effort basis.
Ecco may perform maintenance, updates, or changes that may temporarily affect availability.
10. Intellectual Property
Ecco retains all rights, title, and interest in and to its platform, technology, software, and related improvements.
The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the active subscription period.
11. Liability
To the maximum extent permitted by law, Ecco’s total liability arising out of or in connection with the Service will not exceed the amount paid by the Customer in the 6 months preceding the event giving rise to the claim.
Ecco will not be liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of bookings, loss of data, or loss of goodwill.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Termination
Either party may terminate the Service in case of material breach by the other party, if such breach is not remedied within a reasonable period after written notice.
Upon termination:
access to the Service will stop
Customer data may be made available for export for a limited period
Ecco may delete or anonymize Customer data after that period, unless retention is required by law
13. Changes to Terms
Ecco may update these Terms from time to time by posting an updated version on its website and providing reasonable notice where appropriate.
Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of Italy.
Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Florence, Italy.
